James Marshall / Marshal Strategies LLC and the Broader Scam they are running.
I am sharing my personal experience and opinion regarding James Marshall and Marshal Strategies LLC so that others exercise extreme caution and conduct extensive due diligence before engaging with any parties making promises related to funding, trust structures, Reg D filings, or large commercial financing programs.
James Marshall was introduced to me directly by McClain Bell, the owner of Elysium Private Equity Firm, during the period when I was pursuing substantial commercial funding for multiple real estate and business acquisitions. McClain Bell represented James Marshall and Marshal Strategies LLC as an important component of the overall funding process and portrayed him as someone who would help facilitate the necessary regulatory and compliance steps required before funding could occur.
Based on those representations, I paid James Marshall and his company approximately $5,000 to complete a Regulation D (Reg D) filing for my company, MP Distro LLC. I was led to believe that this filing was not merely a standalone compliance service, but rather an integral part of a larger funding structure that would ultimately lead to the release of financing once the Reg D process was approved and a trust account structure was established. Afterward, I also paid an additional $500 for revisions and modifications related to the filing.
At the time, the entire process was presented as organized, legitimate, and coordinated among multiple parties involved in the funding arrangement. However, despite repeated assurances, timelines, and promises made by McClain Bell and associated individuals, the anticipated funding never materialized.
As events unfolded, I began to believe that the Reg D filing process and associated services may have been used to create an appearance of legitimacy and progress while substantial sums of money continued to be collected from me and potentially others.
Based on my personal experience, James Marshall and Marshal Strategies LLC appeared to be closely connected to the broader network of individuals involved in what I believe became a deceptive and highly damaging scheme.
Whether knowingly or unknowingly, his services became part of a process that ultimately resulted in significant financial losses, delays, broken promises, reputational harm, and severe business disruption for me and my family.
I believe the repeated references to trust accounts, regulatory filings, compliance procedures, and imminent funding created a false sense of credibility that encouraged continued participation and payments. Looking back, I now strongly question whether these steps were genuinely tied to any legitimate funding source at all.
As a result of these experiences, I have already reported my concerns and supporting documentation to regulatory and law enforcement authorities, including the SEC and other agencies, so that they may independently evaluate the conduct, representations, relationships, and activities of the individuals and entities involved.
I want to make it very clear that this statement reflects my personal experience, opinions, and concerns based on the events I went through directly.
I strongly encourage anyone considering doing business with Marshal Strategies LLC, James Marshall, McClain Bell, Elysium Private Equity, Momentum Financial Group and his owner Redell Vincent Napper Jr., CLS lending and the owner Reynaldo Uballe or any similar funding operation to perform exhaustive due diligence, independently verify all claims, confirm licensing and regulatory standing, speak directly with verified funding sources, and consult qualified legal counsel before sending money or relying on promises of financing.
My purpose in sharing this experience is to warn others to proceed carefully and avoid suffering the kind of financial and emotional hardship that I experienced.
